This document contains very important information regarding your rights and obligations, as well as conditions, limitations, and exclusions that might apply to you. Please read it carefully.

This Agreement requires the use of arbitration to resolve disputes, rather than jury trials or class actions.

This Terms-of-Service Agreement (“Agreement”) is a binding contract between you (“Customer,” “you,” or “your”) and BluStar Digital Media (“Provider,” “we,” or “us”). This Agreement governs your access to and use of the Services and takes effect when you accept it or access or use the Services. If you do not agree to these terms, you may not access or use the Services.

1. Contracting Parties & Acceptance

This Terms-of-Service Agreement (the “Agreement”) is a binding contract between you (“Client,” “you,” or “your”) and MavenRed d/b/a BluStar Digital Media (“Provider,” “BluStar,” “we,” or “us”). This Agreement governs the Services provided by BluStar and takes effect on the date of the last signature, electronic acceptance, or other written acceptance by the Client, unless the parties expressly agree to a different effective date in writing. If the Client does not agree to these terms, the Client may not use the Services.

2. Definitions

“Services” means the done-for-you borrower acquisition, advertising, CRM, qualification, automation, lead nurturing, appointment booking, optimization, reporting, and related services described in this Agreement.

“Client Data” means information, records, contact information, borrower information, appointments, campaign data, and other business data supplied by or generated specifically for the Client through the Services, excluding BluStar IP.

“Client-Specific Deliverables” means final assets and configurations created specifically for the Client, including Client-specific creatives, landing pages, funnels, forms, surveys, campaign configurations, CRM workflows, automations, qualification systems, appointment systems, and similar deliverables, subject to third-party platform rights.

“BluStar IP” means BluStar’s underlying strategies, frameworks, methodologies, templates, reusable systems, automation logic, prompts, processes, know-how, reusable components, training materials, and other proprietary intellectual property used to create or operate the Client-Specific Deliverables.

“Qualified Appointment” means a genuine prospective borrower who has completed the agreed qualification process, provided the required information, met the Client’s agreed targeting and qualification criteria, and scheduled an appointment on the Client’s designated calendar. Duplicate, test, fraudulent, spam, or obviously invalid submissions are excluded. A scheduled appointment may count even if the borrower later fails to attend, provided it otherwise meets this definition.

“Advertising Spend” means amounts paid by the Client directly to Meta, Google, YouTube, TikTok, LinkedIn, or another advertising platform for campaign media spend.

“Written Approval” means approval provided by the Client or an authorized representative by signed document, email, electronic acceptance, or other written communication reasonably evidencing the Client’s approval.

3. Services Covered

The one-time Service Fee covers the full initial build, launch, management, optimization, and support of the Client acquisition system for the initial three-month service period. The Services included in the Service Fee are the following, to the extent reasonably applicable to the agreed campaign and Client objectives:

  • Campaign strategy, audience targeting, offer positioning, and campaign planning.
  • Paid advertising campaign setup and management across the agreed platforms, including Meta and/or Google where selected.
  • Ad creative development, copywriting, messaging, creative testing, and ongoing creative updates.
  • Landing pages, funnels, forms, surveys, qualification systems, and lead-capture assets.
  • CRM setup, pipeline configuration, lead routing, lead status management, and related integrations.
  • Automated SMS, email, and voice follow-up systems, including message sequencing and opt-out handling.
  • AI-assisted lead follow-up and personalization where applicable to the agreed system.
  • Lead nurture, reactivation, long-cycle follow-up, and appointment conversion workflows.
  • Calendar booking, confirmation, reminder, rescheduling, and appointment-management systems.
  • Tracking, reporting, campaign monitoring, optimization, and weekly performance reporting/review. Weekly reporting will, where the relevant information is available to BluStar, distinguish between booked Qualified Appointments, attended appointments, submitted loan applications, and funded or closed loans.
  • Strategy and operational support reasonably related to the systems and campaigns covered by this Agreement.

Launch Timeline. Subject to receipt of all required information, approvals, account access, domains, calendar access, and other necessary inputs from the Client, BluStar will target initial campaign/system launch within five (5) to seven (7) working days. Delays caused by missing Client information, Client-side changes, advertising platform review, account restrictions, or other third-party approvals are outside this target.

Pre-Launch Approval. BluStar will not intentionally launch the agreed campaigns or automated borrower communications until the Client has reviewed and approved the material campaign strategy, ad messaging/creative, qualification criteria, forms/funnels, and follow-up workflows, unless otherwise agreed in writing.

4. Client Responsibilities & Compliance

The Client understands that campaign performance depends in part on Client conduct, responsiveness, licensing, product availability, and timely cooperation. The Client agrees to:

  • Maintain the agreed Advertising Spend and keep applicable advertising accounts funded and accessible.
  • Provide accurate business, licensing, loan-product, geographic, qualification, disclosure, and compliance information.
  • Provide reasonable access to calendars, CRM, advertising accounts, websites, domains, and other systems required to perform the Services.
  • Maintain reasonable appointment availability and promptly follow up with Qualified Appointments and responsive prospects.
  • Use the agreed qualification, CRM, appointment, and follow-up systems as designed and coordinate with BluStar before materially bypassing or altering them during the active service relationship.
  • Maintain all licenses, registrations, NMLS identifiers, disclosures, approvals, and other requirements applicable to its mortgage business and target markets.
  • Review and approve required advertising, consent, disclosure, and communication language before launch. BluStar will implement the approved consent language, communication disclosures, opt-out mechanisms, suppression workflows, and related communication controls within the systems used to provide the Services, including appropriate SMS/email handling where applicable. Where supported by the applicable systems and platforms, BluStar will also implement the capture and maintenance of consent records and related communication records. BluStar will implement reasonable technical safeguards for Client and borrower information within the systems it controls.

The Client remains responsible for reviewing and approving the legal sufficiency of the language and for ensuring that its business, offers, licensing, disclosures, communications, and campaigns comply with applicable laws and regulations.

The Client is solely responsible for legal and regulatory compliance applicable to its mortgage activities, including as applicable TCPA, CAN-SPAM, Do-Not-Call requirements, TILA/Regulation Z, RESPA, ECOA/Regulation B, MAP Rule, UDAAP, fair-lending requirements, privacy requirements, state-specific requirements, and advertising-platform policies. BluStar is a marketing and technology provider and is not a mortgage lender, mortgage broker, loan originator, attorney, or legal/compliance advisor.

5. Fees & Payment

The Client agrees to pay a one-time Service Fee of $2,000 USD. The full Service Fee is due before work begins unless the parties expressly agree otherwise in writing.

The $2,000 Service Fee covers the initial three (3) months of Services described in Section 3, including the system buildout, campaign management, creative updates, optimization, funnels, forms, CRM, automations, qualification, lead follow-up, appointment booking, reporting, and related support. No recurring management fee is charged during this initial three-month period.

After the initial three-month period, continued Services are optional. If the Client elects to continue, the Client must provide Written Approval for the continuation and the $250 USD monthly support and optimization fee will apply for the approved continuation period. This fee covers continued support, creative updates, campaign optimization, reporting, and related ongoing Services.

If an amount properly due to BluStar remains unpaid for more than seven (7) days after its due date, BluStar may pause campaigns or suspend Services until payment is received. Suspension for nonpayment does not create a refund right.

6. Advertising Spend & Third-Party Costs

Advertising Spend is separate from the Service Fee and is paid directly by the Client to the applicable advertising platform. The standard planned Advertising Spend under this universal agreement is approximately $40 per day, subject to a maximum Advertising Spend cap of $1,200 per calendar month. BluStar will not intentionally increase the agreed campaign budget above the applicable monthly cap without the Client’s Written Approval.

If the parties later agree in writing to a different daily Advertising Spend or monthly Advertising Spend cap for a particular Client, that specific written term will control for that engagement to the extent it conflicts with the standard budget stated in this Section.

Standard third-party costs are limited to the following typical items:

  • CRM: no separate CRM subscription or usage charge from BluStar under the standard package.
  • SMS, email, voice, telephony, and phone-number usage: typically approximately $25-$30 per month combined, depending on actual usage.
  • Domain: typically approximately $8-$10 as a one-time purchase when a new domain is required. An existing Client domain may be used instead.
  • Advertising Spend: paid directly by Client to advertising platforms and not included in the Service Fee.

No other standard third- party costs are anticipated under the standard package. If a Client requests an additional paid third-party tool, subscription, integration, or service outside the standard package, BluStar will seek the Client’s Written Approval before charging or requiring that additional third-party cost. Third-party services remain subject to their own terms, pricing, platform policies, outages, restrictions, and service availability.

7. Appointment Performance Commitment

Subject to the eligibility conditions in this Agreement, BluStar provides a performance commitment of at least 35 Qualified Appointments per eligible full calendar month.

The first thirty (30) days after initial campaign launch are treated as the initial build, launch, and ramp-up period. The first eligible performance measurement month is the first complete calendar month that begins after the thirty (30) day ramp-up period ends. A partial calendar month occurring after the ramp-up period and before the start of the next complete calendar month is not an eligible performance measurement month.

The 35 Qualified Appointment performance commitment may be evaluated during the initial three-month service period after the applicable ramp-up period. Continued evaluation may also occur during any approved continuation period. However, eligibility for the limited refund described in Section 8 remains subject to the minimum five (5) month qualifying period and every other condition in Section 8.

The performance commitment concerns Qualified Appointments only. It is not a guarantee of applications, loan approvals, funded or closed loans, commissions, revenue, return on advertising spend, or any other particular financial outcome. The commitment is conditional on the Client continuously meeting the applicable requirements of Section 8.

8. Limited Refund Requirements

The $2,000 Service Fee is non-refundable except for the limited refund described in this Section. Because substantial strategy, buildout, campaign development, implementation, CRM configuration, automation, creative, and management work begins after payment, the Client is not entitled to a prorated or unused-service refund merely because the Client terminates the Services, pauses campaigns, or chooses not to use the system. A Client may request consideration for a refund of the $2,000 Service Fee only if EVERY requirement below is satisfied in full:

  • Five-month qualifying period. The Client must have continuously used the Services for at least five (5) consecutive months. The first three months are covered by the initial Service Fee. If the Client seeks refund eligibility after month three, the Client must elect continuation in writing and remain current on the $250 monthly support fee for months four and five.
  • Refund-request deadline. The refund request must be submitted no later than six (6) months and two (2) weeks after the date of the initial Service Fee payment, subject only to reasonable extensions for documented platform outages, account errors, or other events outside the Client’s reasonable control that materially prevented normal campaign operation.
  • Continuous campaign use. The Client must maintain the recommended campaigns continuously throughout the qualifying period and may not materially pause, disable, or restructure the campaigns without coordination with BluStar.
  • Required advertising level. The Client must maintain the agreed recommended Advertising Spend for five (5) consecutive months. Under this universal agreement, this means approximately $40/day, subject to the $1,200 monthly cap, unless a different budget and/or cap has been expressly agreed in writing for the Client.
  • No material bypassing or disabling. The Client must not materially bypass, alter, delete, or disable agreed qualification questions, targeting, campaign structure, landing pages, automations, CRM workflows, or follow-up systems without BluStar’s prior Written Approval or coordination.
  • Appointment availability. The Client must maintain sufficient appointment availability and must not intentionally restrict calendar availability in a manner that materially prevents Qualified Appointments from being booked.
  • Appointment attendance. The Client or an Authorized User must attend each Qualified Appointment received through the System or promptly reschedule the appointment when appropriate.
  • Prospect follow-up. The Client or an Authorized User must follow up promptly with responsive prospects, including at least five (5) direct call attempts during the first thirty (30) days when appropriate, and must respond to inbound replies within seventy- two (72) hours. Automated messages do not count as required direct call attempts.
  • CRM usage. The Client must use the CRM and provided pipeline to track and update lead status and must not intentionally delete contacts, conversations, appointment records, or relevant campaign data.
  • Training and onboarding. The Client must complete any onboarding, system, CRM, and conversion training reasonably provided as part of the Services.
  • Licensing. The Client must remain properly licensed and legally able to originate or broker mortgage loans in the markets being advertised for the entire qualifying period.
  • Timely issue reporting. The Client must report material system errors, outages, or advertising-account restrictions to BluStar within twenty-four (24) hours of becoming aware of the issue and reasonably cooperate in resolving them.
  • Current payments. The Client must remain current on all amounts owed to BluStar and all third-party costs necessary to operate the System, including any approved $250 monthly continuation fees required for refund eligibility.
  • Closed/funded loan threshold. The Client must have received fewer than three (3) closed/funded mortgage loans during the five-month qualifying period that were directly or indirectly attributable to the Services, the System, or leads generated through the System. If the Client closes three (3) or more such loans, no refund will be owed under this Section.
  • Formal request and records. The Client must submit a formal written refund request with reasonable supporting documentation, which may include CRM records, appointment records, advertising-spend records, campaign reports, and loan- status records.
  • Review cooperation. Following a refund request, the Client must reasonably cooperate with BluStar’s review and provide additional documentation reasonably required to verify eligibility.

Active continuation. For the full five-month qualifying period, the Client must remain an active client, remain current on applicable continuation fees, and maintain the systems necessary to evaluate the performance commitment.

If, after reviewing the applicable records, BluStar determines that every condition above has been satisfied and that the 35 Qualified Appointment commitment was not met during one or more eligible full calendar months for reasons attributable to BluStar’s performance rather than Client non-compliance or an excluded external event, BluStar will refund the $2,000 Service Fee.

Advertising Spend, third-party fees, taxes, payment-processing fees, domain costs, messaging/telephony usage charges, and other external costs are not refundable. The limited refund described in this Section is the Client’s sole and exclusive remedy for failure to meet the appointment performance commitment. No refund is available if any eligibility requirement is not satisfied in full.

9. Leads, Client Data & Client-Specific Deliverables

As between the parties, the Client owns its Client Data, including borrower/contact records, appointment information, Client- provided business information, and other Client-specific data generated for the Client through the Services, subject to applicable law and third-party platform terms.

Leads and borrower/contact records generated through campaigns run specifically for the Client will be treated as exclusive to that Client. BluStar will not intentionally sell, resell, or distribute those campaign-generated leads to unrelated mortgage professionals. This exclusivity does not prevent third-party advertising platforms from operating according to their own platform rules or the same prospect from independently contacting multiple businesses outside the Client’s campaigns.

The Client also owns the final Client-Specific Deliverables created specifically for the Client, including Client-specific advertising creatives, landing pages, forms, surveys, campaign configurations, CRM workflows, automations, qualification systems, appointment systems, and similar final buildouts, subject to third-party platform rights and Section 10.

Following termination or the end of BluStar’s management of the applicable system, the Client may continue to use, modify, operate, and maintain the Client-Specific Deliverables and may authorize another provider to access, manage, modify, or maintain those deliverables for the Client’s business. BluStar will not charge a separate licensing fee merely because the Client continues to use its own Client-Specific Deliverables or appoints another provider to manage them.

10. BluStar Intellectual Property

BluStar retains all right, title, and interest in its underlying strategies, frameworks, methodologies, templates, reusable systems, automation logic, prompts, campaign architecture, proprietary processes, know-how, reusable components, training materials, and other intellectual property used to create or operate the Client-Specific Deliverables (“BluStar IP”).

Ownership and use of Client-Specific Deliverables does not transfer ownership of the underlying BluStar IP. The Client receives a perpetual, non-exclusive, royalty-free right to use the Client-Specific Deliverables for its own business, including operating and modifying embedded components of the deliverables and authorizing another provider to maintain them. The Client may not extract, reproduce as a standalone system, sell, license, white-label, publish, or redistribute BluStar IP outside the Client’s own business operations, or use BluStar IP to create a competing marketing service for third parties.

BluStar may use anonymized and aggregated performance information that does not identify the Client or any individual borrower for internal analytics, quality improvement, benchmarking, and service development.

11. Confidentiality & Non-Disparagement

Each party agrees to protect the other party’s non-public business, technical, financial, strategic, operational, and proprietary information and to use such information only for purposes of the business relationship.

Neither party will knowingly publish or communicate false or defamatory statements about the other party, its principals, employees, contractors, or business. Nothing in this Section prevents truthful statements required by law, lawful reports to authorities, or good-faith communications concerning legitimate disputes.

12. Warranties, Results & Disclaimers

BluStar warrants that it will provide the Services using commercially reasonable care and skill. Except for the express appointment performance commitment in Section 7 and the limited refund remedy in Section 8, the Services are provided without any promise of a particular business outcome.

BluStar does not guarantee a specific number or cost of leads, a specific conversion rate, applications, loan approvals, funded loans, closings, commissions, revenue, return on advertising spend, or other financial result. Advertising results and borrower behavior depend on factors outside BluStar’s control, including market conditions, competition, advertising-platform performance, borrower demand, advertising costs, Client follow-up, licensing, loan-program availability, third-party platforms, and other external factors.

Except as expressly stated in this Agreement and to the maximum extent permitted by applicable law, the Services are provided “as is,” and BluStar disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

13. Client Indemnification

To the extent permitted by applicable law, the Client agrees to defend, indemnify, and hold harmless BluStar Digital Media and its owners, employees, contractors, and service providers from claims, losses, liabilities, penalties, damages, and reasonable costs arising out of:

  • the Client’s breach of this Agreement;
  • the Client’s violation of applicable mortgage, advertising, consumer-protection, privacy, telemarketing, messaging, licensing, or fair-lending requirements;
  • inaccurate, incomplete, or misleading information supplied by the Client; the Client’s products, loan programs, offers, disclosures, or business practices; or
  • the Client’s misuse of the Services.

14. Limitation of Liability

To the maximum extent permitted by applicable law, BluStar will not be liable for indirect, incidental, special, exemplary, consequential, punitive, or lost-profit damages, or for loss of goodwill, business opportunities, commissions, revenue, data, or expected savings arising out of or relating to the Services.

To the maximum extent permitted by applicable law, BluStar’s aggregate liability arising out of or relating to this Agreement will not exceed the total Service Fees actually paid to BluStar by the Client under this Agreement during the twelve (12) months preceding the event giving rise to the claim. Nothing in this Agreement limits liability to the extent such limitation is prohibited by applicable law.

15. Term & Termination

The Agreement begins on the effective date established under Section 1 and the initial three-month service period is the minimum commercial service period covered by the $2,000 Service Fee.

The Client may provide written notice of termination at any time. Termination before the end of the initial three-month service period does not create a prorated refund or relieve the Client of the initial Service Fee. After the initial three-month period, continuation is optional and requires the Client’s Written Approval. If the Client does not approve continuation, Services will end at the close of the initial period.

If the Client elects to continue after the initial three months, the $250 monthly support and optimization fee applies for each approved month until termination. A Client that seeks eligibility for the Section 8 limited refund must satisfy the five-month qualifying period, including the continuation requirements described in Section 8.

Upon termination, BluStar will stop ongoing campaign management and related Services. The Client may pause or stop advertising campaigns, and the Client remains responsible for Advertising Spend or third-party charges incurred before the effective termination date. Termination does not create a refund right except as expressly provided in Section 8.

Sections concerning payment, refunds, confidentiality, data ownership, intellectual property, disclaimers, indemnification, limitation of liability, dispute resolution, and any provision intended by its nature to survive will survive termination.

16. Privacy, Data Processing & Communication Controls

The parties will handle personal information and Client Data in accordance with applicable law and applicable third-party platform terms.

The Client is responsible for providing lawful instructions, required notices, and legally sufficient consent for borrower communications where required.

BluStar may use employees, contractors, service providers, CRM systems, communication platforms, advertising platforms, and other technology providers as reasonably necessary to provide the Services.

BluStar will implement the agreed consent, disclosure, opt-out, suppression, and communication controls within the systems it manages, subject to the functionality and policies of the applicable platforms. Where supported by the applicable systems and platforms, this includes the capture and maintenance of consent records and related communication records.

The Client acknowledges that third-party advertising and communication platforms may store or process information under their own policies and terms. BluStar is not responsible for third-party platform policies, outages, account restrictions, pricing changes, or security incidents occurring outside systems under BluStar’s reasonable control.

17. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of India.

The parties will first attempt in good faith to resolve any dispute, claim, or disagreement arising out of or relating to this Agreement through direct discussion.

If the dispute cannot be resolved through good-faith discussions, the parties will attempt to resolve the matter through mediation.

If the dispute remains unresolved following mediation, it will be resolved by binding arbitration in India in accordance with applicable Indian arbitration law.

This dispute-resolution process is intended to provide a structured path for resolving disagreements without requiring either party to immediately commence court proceedings. The final procedural terms of any arbitration will be determined under the applicable Indian arbitration framework and any mandatory requirements of applicable law.

18. Notices, Modifications & Entire Agreement

Notices under this Agreement may be provided by email to the addresses designated by the parties.

Material amendments to pricing, Service scope, Advertising Spend, monthly cap, or other major commercial terms must be agreed in writing by both parties.

Operational procedures, campaign methods, software, platforms, and technical processes may be updated by BluStar from time to time where reasonably necessary to maintain or improve the Services, provided such changes do not materially alter the Client’s agreed commercial terms without written agreement.

Any written commercial term expressly agreed by both parties that modifies a provision of this Agreement will control only to the extent of the specific conflict for that Client engagement. All other provisions of this Agreement remain unchanged.

This Agreement, together with any written commercial terms expressly incorporated into the engagement, constitutes the entire agreement between the parties concerning the Services and supersedes prior communications or understandings concerning the same subject matter.

If any provision is held invalid or unenforceable, the remaining provisions will remain in effect and the invalid provision will be modified to the minimum extent necessary to make it enforceable, where permitted by law.

The Client may not assign this Agreement without BluStar’s prior written consent, except to a successor to substantially all of the Client’s business or assets where permitted by law.

BluStar may assign this Agreement in connection with a merger, reorganization, or sale of substantially all of its business.

19. Miscellaneous

This Agreement, together with the Terms of Use and Privacy Policy, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous understandings. If any provision is held invalid or unenforceable, that provision will be modified to the minimum extent necessary and the remaining provisions will continue in full force. No waiver is effective unless in writing. You may not assign this Agreement without Provider’s prior written consent; Provider may assign freely. Neither party is liable for failures caused by events beyond its reasonable control. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship.

20. Notices

All notices to Provider must be sent to BluStar Digital Media, with a copy by email to team@blustardigitalmedia.com. Notices to Customer may be sent to the email address associated with your account.
